Terms of Service

1. Acceptance

By downloading, installing, or using DropZone ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Software.

2. License Grant

Free tier: A limited, non-exclusive, non-transferable license to use the Software for personal or commercial purposes within the Free tier limits (2 folders, 3 rules per folder).

Pro tier: A perpetual, non-exclusive, non-transferable license to use the Software with Pro tier limits upon payment of the one-time fee. The license is for a single organisation.

Enterprise tier: A non-exclusive, non-transferable license to use the Software with Enterprise tier limits for the duration of your active annual subscription. The license is for a single organisation and any number of servers within that organisation.

You may not sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Software or make it available to third parties.

3. License Keys

License keys are issued to the email address used at checkout and are valid for one organisation. You must not share, resell, or distribute your license key. We reserve the right to revoke keys found to be in violation of these Terms.

Enterprise license keys expire after one year and require an active subscription to auto-renew. Pro license keys are perpetual and do not expire.

4. Payment & Refunds

All prices are in Canadian Dollars (CAD) and are processed securely through Stripe.

Pro (one-time): Due to the digital nature of the product, refunds are not available once the license key has been issued. If you experience a technical issue, contact us at [email protected] before requesting a refund.

Enterprise (annual subscription): You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — your license remains valid until then. No partial refunds are issued for unused time.

5. Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the Software
  • Circumvent or attempt to bypass license key verification
  • Use the Software in any way that violates applicable laws
  • Remove or alter any proprietary notices in the Software

6. Updates & Support

We may release updates to the Software at our discretion. Pro licenses include updates for the current major version. Enterprise licenses include all updates for the duration of the active subscription.

Support is provided on a best-effort basis via email at [email protected]. We do not guarantee response times.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, REVENUE, OR PROFITS) ARISING FROM YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated date. Continued use of the Software after changes constitutes acceptance of the revised Terms.
